Terms of Service: EsignKit & Tradear Ecosystem

Provider: Global Digital Enterprise Limited (trading as Tradear and EsignKit)
1. Subscription Model & Service Credits
The Service operates on a recurring subscription basis (Regular or Pro).
- 1.1 Credit Allocation: Your monthly or annual credit allowance is granted at the start of each billing cycle.
- 1.2 Reset Policy: Monthly subscription credits do not roll over. At the start of a new monthly billing cycle, your credit balance resets to your tier’s maximum allowance.
- 1.3 Payment Failure & Downgrade: If a subscription payment fails, your account will automatically revert to the "Basic" (Free) tier. Access to premium features and automated "Refill" credits will be suspended until a valid payment method is restored.
- 1.4 Cancellation: You may cancel at any time. You will retain access to your current tier's features and credits until the end of your paid billing period, after which the account reverts to the Basic tier.
2. Beta Features & "Mini-ERP" Modules
As part of the Tradear ecosystem, we provide "Beta" access to tools including Invoicing, Quotes, and Workflow management.
- 2.1 "As-Is" Status: Beta features are for testing and preview purposes. They are provided "AS-IS" without any warranty.
- 2.2 Beta Liability: We accept no liability for financial loss or data errors resulting from Beta features. Users must manually verify all business-critical calculations (e.g., VAT/Tax).
- 2.3 Future Tiers: Access to Beta features is currently a complimentary benefit for paid EsignKit subscribers. We reserve the right to move these features to a separate paid tier in the future with 30 days' notice.
3. Document Retention & Data Responsibility
- 3.1 Active Subscribers: We will retain all completed documents for as long as you maintain an active "Regular" or "Pro" subscription.
- 3.2 Basic & Inactive Accounts: For accounts on the "Basic" tier or those with expired subscriptions, we will retain completed documents for a period of 12 months from the date of the last transaction or subscription expiration. After this 12-month period, documents may be permanently deleted.
- 3.3 User Responsibility: EsignKit is a transaction platform, not a permanent archive. You are responsible for downloading and backing up your documents for your own long-term records.
4. Usage Restrictions
- 4.1 File Limits: Maximum upload size is 10 MB. Supported formats: PDF, DOC, DOCX.
- 4.2 Security: Any attempt to scrape the platform, upload malware, or use unauthorized bots will result in immediate termination without refund.
5. Limitation of Liability
- 5.1 Financial Cap: Our total liability for any claim is limited to the total amount paid by you in the 12 months preceding the claim.
- 5.2 Indirect Loss: We are not liable for loss of profits, loss of business opportunity, or damages resulting from delayed signatures or service interruptions.
6. No Legal or Tax Advice
- 6.1 Technology Only: EsignKit provides digital tools. We do not provide legal or tax advice.
- 6.2 MTD Compliance: While our tools assist with digital record-keeping (supporting 2026 MTD requirements), you remain solely responsible for your business's HMRC compliance.
7. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
